FY25 was a record year; FY26 saw a pullback driven by SEBI fee structure changes in F&O — not competitive loss.
Options fees alone contributed ~60% of total revenue — NSE's growth is tightly linked to India's F&O market expansion.
In ₹ Lakh Crore per day. NSE dominates Indian markets across all segments — cash market ADTV is 13× BSE.
NSE runs best-in-class margins globally among listed exchanges — a testament to its operational leverage.
129 million unique PAN-linked investors on NSE — growing 14.4% YoY. India's financialisation story is just beginning.
In ₹ Trillion. NSE mobilised ₹20.33T in FY26 — equity listings up 47% in 2 years, debt crossing ₹15.5T.
On every meaningful metric, NSE dwarfs its closest competitor. This is as close to a monopoly as Indian markets get.

Tollgate on India's Financial Growth
Every equity trade, futures contract, and IPO on NSE earns it a fee. As India's economy grows from $4T to $10T+ GDP, capital markets will deepen — and NSE sits at the centre.
Unmatched Market Dominance
NSE's cash market ADTV is 13× BSE. In equity derivatives — the world's largest by contract count — NSE has no meaningful competition. Switching costs are enormous.
India's F&O Headroom is Huge
India's options premium turnover (Q4 FY26: ~$690B) is less than 25% of the US market ($2,959B). As contract sizes grow and institutions deepen participation, options volumes will expand.
129M Investors and Counting
Unique registered investors grew 41% over 3 years. India's financial inclusion story — SIPs, demat accounts, digital brokers — directly drives NSE's top line.
₹64,771 Cr Treasury — A Hidden Asset
NSE's treasury corpus generates significant investment income (~₹1,929 Cr in FY26 other income). This cash war chest can fund new products, technology, and strategic investments.
World-Class Margins
66.85% EBITDA margin. Nearly 51% PAT margin. Among the highest globally for listed exchanges. The asset-light model means marginal revenue almost entirely drops to the bottom line.

India has surpassed the UK and Hong Kong. The trajectory toward the top 3 is a matter of when, not if.
Over 30 years (March 1996–2026), NSE's flagship index delivered 11% annualised returns in rupee terms, beating most global indices.
March 24, 2026. NSE's tech infrastructure handles a scale that puts it among the most resilient exchanges globally.
Over 200,000 trading terminals across India. Geographic reach is a moat — and it keeps deepening.
Per WFE, NSE traded 36.99 billion contracts in FY26, retaining its position as the #1 equity derivatives exchange on earth.
NSE is investing in AI for regulatory tech, surveillance, and IPO document review — with ₹13,146 Cr tech spend in FY26 (7.9% of revenue).
⚠ SEBI Fee Structure Changes
SEBI's 2024 circular on slab-based transaction charges already cut FY26 revenue. Future regulatory resets on F&O can occur with little warning.
⚠ F&O Revenue Concentration
Options fees = 60% of revenue. Any shock to retail derivatives participation (SEBI curbs, market crash, macro event) directly hits earnings.
⚠ Supreme Court Colocation Case
SEBI's appeal on the 2019 colocation order is pending. An adverse verdict could mean penalties and restrictions that affect NSE's standing post-listing.
⚠ Pure OFS = No Capital Deployment
No fresh equity means no incremental funding for technology or new products from this offering. Growth must come from existing cash flows.
⚠ Governance Without a Promoter
SBI (24.75M shares), LIC, and other PSUs hold stakes but without a promoter, accountability during a crisis is unclear.
⚠ BSE Gaining in Derivatives
BSE's flat-fee structure in equity derivatives is attracting brokers. If NSE's monopoly erodes in F&O, the revenue impact would be disproportionate.
Rivo's Take
Not financial advice — our read on the DRHP
NSE is a tollgate on India's financial future — but valuation will decide everything.
Few businesses in India have this combination: a near-monopoly position in the country's fastest-growing asset class (equity derivatives), 66%+ EBITDA margins, and structural tailwinds from India's financialisation journey. NSE is not just an exchange — it is critical national infrastructure.
The FY26 revenue and PAT dip are real concerns. SEBI's fee intervention was a reminder that regulators can and will reshape NSE's business model. The co-location case overhang, concentration in F&O, and pure OFS structure are legitimate negatives.
That said, 129 million investors and growing, world-record derivatives volumes, and a ₹64,771 Cr treasury make NSE a business that has earned its premium. The question isn't whether NSE is great — it clearly is. The question is what price the market puts on it. Watch the price band announcement closely. At a reasonable multiple, this is a compounding machine for long-horizon investors who believe in India's equity culture.
